These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you") and Infonex Pty Ltd ("Company", "we", "us"), governing your access to and use of the SentientOne platform, including the website at sentientone.ai, the application at app.sentientone.ai, all associated APIs, chatbot widgets, documentation, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
To access the Service, you must register for an account and provide accurate, complete information. You are responsible for: • Maintaining the confidentiality of your account credentials and API keys. • All activities that occur under your account, whether authorized by you or not. • Notifying us immediately of any unauthorized use of your account. • Ensuring that your API keys are stored securely and not exposed in client-side code or public repositories. We reserve the right to suspend or terminate accounts that violate these Terms or exhibit suspicious activity.
SentientOne is an AI agent orchestration platform that enables you to: • Create and configure custom AI agents with unique system prompts, models, and parameters. • Upload PDF documents to build agent knowledge bases. • Create FAQ entries and curated knowledge for agents. • Test agents via the built-in chat interface. • Connect external tools and data sources via the Model Context Protocol (MCP). • Deploy chatbot widgets on your websites. • Integrate agents into your applications via our REST API. • Monitor agent performance through analytics dashboards. • Manage billing and subscriptions through our integrated payment system. We reserve the right to modify, update, or discontinue any feature of the Service at any time with reasonable notice.
The Service is offered under tiered subscription plans (Starter, Pro, Enterprise) with varying features, limits, and pricing. By subscribing to a paid plan: • You authorize us to charge your payment method on a recurring basis according to your selected plan. • Plan upgrades take effect immediately; downgrades take effect at the end of the current billing cycle. • Free trials, where offered, are subject to the terms specified at the time of sign-up. At the end of a free trial, your subscription will convert to the selected paid plan unless cancelled. • Refunds are handled on a case-by-case basis at our discretion. • All payments are processed securely through Stripe. You agree to Stripe's terms of service for payment processing. • We reserve the right to change pricing with 30 days' written notice.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not: • Use the Service to generate, store, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable. • Attempt to reverse-engineer, decompile, or disassemble any part of the Service. • Circumvent rate limits, usage quotas, or other technical restrictions. • Use the Service to build a competing product or service. • Share your account credentials or API keys with unauthorized parties. • Upload documents containing malware, viruses, or malicious code. • Use the Service in any way that could damage, disable, or impair our infrastructure. • Misrepresent the source or nature of AI-generated content to end users in a manner that is deceptive or harmful. • Use the chatbot widget to collect personal information from end users without proper consent and disclosure.
The Service facilitates interactions with third-party large language models (LLMs) such as GPT-4o, Claude, and others. You acknowledge and agree that: • AI-generated responses may not always be accurate, complete, or appropriate. You are responsible for reviewing and validating all AI outputs before relying on them. • We do not guarantee the accuracy, reliability, or suitability of any AI-generated content. • You are solely responsible for how you use, display, and distribute AI-generated content, including through chatbot widgets deployed on your websites. • We are not liable for any decisions made or actions taken based on AI-generated content.
You retain ownership of all data, documents, FAQ content, system prompts, and other content you upload or create on the platform ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process Your Content solely for the purpose of providing and improving the Service. We will not use Your Content to train AI models or share it with other users. You are responsible for ensuring that Your Content does not infringe on any third-party rights and complies with all applicable laws.
All intellectual property rights in the Service, including but not limited to the platform, software, APIs, documentation, branding, and design, are owned by Infonex Pty Ltd or our licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms and your subscription plan. Nothing in these Terms transfers any intellectual property rights to you.
If you deploy a SentientOne chatbot widget on your website: • You are responsible for ensuring the chatbot's use complies with all applicable laws, including privacy and consumer protection regulations. • You must provide clear disclosure to your website visitors that they are interacting with an AI-powered chatbot. • You are the data controller for any personal information collected through the chatbot from your end users. • You must maintain an appropriate privacy policy on your website that covers the chatbot's data collection practices. • We provide the chatbot infrastructure as a data processor on your behalf.
Access to the SentientOne API is subject to the following conditions: • You must authenticate all API requests using your assigned API key. • API usage is subject to rate limits and quotas as defined by your subscription plan. • You must not share your API key publicly or embed it in client-side code. • We reserve the right to throttle or suspend API access if usage patterns indicate abuse or threaten platform stability. • API availability is provided on a commercially reasonable basis; we do not guarantee 100% uptime.
The Service integrates with third-party services including LLM providers (OpenAI, Anthropic, etc.), MCP servers, and Stripe for payments. Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the availability, performance, or policies of third-party services. When you connect MCP servers to your agents, you are responsible for ensuring that those connections comply with the data handling requirements of the connected services.
To the maximum extent permitted by law: • The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. • We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. • Our total aggregate liability for any claims arising out of or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim. • We are not liable for any loss or damage resulting from the accuracy or reliability of AI-generated content, third-party service outages, or unauthorized access to your account due to your failure to protect your credentials.
You agree to indemnify, defend, and hold harmless Infonex Pty Ltd, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, your violation of any third-party rights, or any content you create, upload, or distribute through the platform including via chatbot widgets.
Either party may terminate the agreement at any time: • You may cancel your subscription and close your account at any time through the platform settings or by contacting us. • We may suspend or terminate your access if you breach these Terms, engage in prohibited activities, or fail to pay applicable fees. • Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes. • Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.
These Terms are governed by and construed in accordance with the laws of the State of New South Wales, Australia. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia. Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service. • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision. • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction. • Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and close your account.
